By creating an account or using AutVent services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Description of Service

AutVent provides a cloud-based inventory management platform that includes:

  • Product and inventory tracking
  • Multi-store management
  • Supply chain management
  • Asset tracking
  • Reporting and analytics
  • API access (plan dependent)

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription and Payment

4.1 Subscription Plans

We offer multiple subscription tiers (Starter, Professional, Enterprise) with different features and pricing. Details are available on our pricing page.

4.2 Payment Terms

  • Payments are due at the start of each billing period
  • All prices are in Nigerian Naira (NGN)
  • Prices are subject to change with 30 days notice

4.3 Free Trial

  • Free trials last 2 months (60 days)
  • Credit card verification required for trial signup
  • Full access to plan features during trial

4.4 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Contact support for refund requests.

5. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Attempt to gain unauthorized access
  • Use the service for competitive analysis
  • Resell or redistribute the service without authorization

6. Data Ownership and Privacy

8. Service Availability

8.1 Uptime Commitment

We strive to maintain 99.9% uptime. Scheduled maintenance will be communicated in advance.

8.2 Service Modifications

We may modify, suspend, or discontinue features with reasonable notice. Material changes will be communicated 30 days in advance.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount you paid us in the 12 months prior to the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for losses due to third-party services

10. Indemnification

You agree to indemnify and hold AutVent harmless from any claims arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings.

11.2 By Us

We may terminate or suspend your account for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent activity
  • Upon reasonable notice for any reason

11.3 Effect of Termination

Upon termination, your access will be revoked and data retained for 30 days before deletion.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos State.

13. Changes to Terms

We may update these Terms periodically. Continued use of the service after changes constitutes acceptance of the new Terms.
